Adobe: Macromedia Acquisition Completed on December 3

Software Manufacturer Says It Has Received the Green Light from Regulatory Bodies

Adobe Systems and Macromedia have received the regulatory approvals or assurances of these approvals to complete Adobe’s acquisition of Macromedia. Adobe announced this today, Friday. The companies expect the transaction to be completed on December 3, 2005, according to an offcial statement from the company.

On April 18, 2005, Adobe announced the acquisition of Macromedia in the form of a stock transaction. Under the terms of the acquisition agreement, the owners of Macromedia common stock will receive 1.38 shares of Adobe common stock for each share they own at the time the acquisition closes.

As part of a conference call for financial experts, Adobe will provide an outlook on the business objectives of the combined company for fiscal year 2006. At the annual event for financial analysts on January 31, 2006 in New York, Adobe management then intends to present the company’s future strategy to analysts and investors.
