New Semiconductor Venture Gets Shareholder Approval

AMD shareholders approved the proposed stock and warrant issuance, clearing the way for AMD and Mubadala’s Advanced Technology Investment Company to establish a foundry joint venture.

AMD announced yesterday that the company’s shareholders approved the proposal to issue common shares and warrants to a subsidiary of Mubadala Development Company PJSC.

This fulfills all requirements for creating the manufacturing joint venture “The Foundry Company” between AMD and the Advanced Technology Investment Company (ATIC) of Abu Dhabi. The parties expect contract negotiations to be completed by 2 March 2009.

AMD shareholders approved (1) the issuance of 58 million shares from AMD common stock and warrants to acquire 35 million shares of AMD common stock, and (2) the issuance of 35 million shares from AMD common stock in exercise of those warrants in favor of a subsidiary of Mubadala Development Corporation. This was approved under the proxy voting conditions at AMD’s Extraordinary Shareholder Meeting held yesterday in Austin, Texas.
